Terms of Service

1. Acceptance of Terms

By accessing and using SquareGames ("the Service", "we", "us", "our"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you and SquareGames. By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

SquareGames provides a platform for users to create, host, and participate in square-based games for sports events and other competitions. The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

Platform Role: SquareGames serves solely as a facilitator and technology platform. We do not organize, manage, or participate in games. All games are created and managed by independent hosts who are responsible for their own games, including compliance with applicable laws and regulations.

3. User Accounts

3.1 Eligibility and Account Creation

• You must be at least 18 years old to create an account
• You must be legally able to enter into contracts in your jurisdiction
• You must provide accurate, current, and complete information
• You must maintain and promptly update your account information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You may not share your account or let others access it
• You must notify us immediately of any unauthorized use of your account

3.2 Account Termination

We reserve the right to suspend or terminate your account, at our sole discretion, if you violate these terms or engage in conduct that we deem harmful to the Service or other users. This includes, but is not limited to:

• Violation of any provision of these Terms
• Fraudulent, abusive, or illegal activities
• Multiple user complaints or reports
• Non-payment of a paid plan, or chargebacks on one
• Prolonged inactivity (we may delete inactive accounts after 2 years)

You may terminate your account at any time through your account settings. Upon termination, you remain liable for all commitments and obligations incurred prior to termination.

4. User Conduct and Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Create games or participate in jurisdictions where such activities are prohibited
• Engage in any form of gambling prohibited by applicable law
• Harass, abuse, threaten, or harm other users
• Post or transmit offensive, defamatory, inappropriate, or harmful content
• Impersonate others or provide false, misleading, or deceptive information
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use automated systems, bots, or software to extract data (scraping)
• Interfere with, disrupt, or impose unreasonable load on the Service
• Circumvent security features or access restrictions
• Manipulate game outcomes or engage in cheating
• Create multiple accounts to evade bans or restrictions
• Engage in any fraudulent activities or scams
• Violate the intellectual property rights of SquareGames or others
• Use the Service to distribute malware, viruses, or harmful code
• Collect or store personal data of other users without consent

4A. Community Standards and Zero Tolerance

SquareGames has zero tolerance for objectionable content and abusive users. Objectionable content includes harassment, threats, hate speech, sexual content, content involving minors, personal information shared without consent, scams, and boards run for real money. You can report any user, game, message, review, team or venue from the app or the website, and block any user. We review every report within 24 hours. Where we find a violation we remove the content and may warn, restrict, suspend or permanently ban the account responsible, without notice where safety requires. Chat and direct messages are encrypted on your device and stored encrypted: we do not monitor them, and we read a message only when someone in the conversation reports it, in which case their device sends us the messages they selected. Submitting a false report or fabricated evidence is itself a violation. Contact: support@squaregames.app.

5. Game Hosting and Participation

5.1 Host Responsibilities

• Hosts must clearly communicate all game rules and participation requirements before accepting participants
• Hosts must ensure their games comply with all applicable laws and regulations in their jurisdiction
• Hosts are solely responsible for ensuring their games are legal and appropriate for entertainment purposes
• Hosts are responsible for managing their games fairly, transparently, and in good faith
• Hosts must honor all commitments and rules they establish for their games
• Hosts must assign numbers randomly and not manipulate game outcomes
• Hosts must promptly communicate any changes or issues to all participants
• Hosts must not attach money, entry fees, stakes or prizes to a game (see 5.3)
• Hosts must verify that participants meet age and legal requirements for participation
• Hosts acknowledge they are using the platform for social entertainment purposes only

5.2 Participant Responsibilities

• Participants must carefully read and understand all game rules before joining
• Participants must ensure their participation is legal in their jurisdiction
• Participants must not offer or accept money, entry fees, stakes or prizes for a game (see 5.3)
• Participants must respect game hosts and other players
• Participants must not engage in cheating, collusion, or unfair practices
• Participants acknowledge that square assignments and number draws are random
• Participants acknowledge they are using the platform for social entertainment purposes only

5.3 Entertainment Platform - No Monetary Transactions

Legal Disclaimer: By using SquareGames, you acknowledge and agree that:

• The Service is for entertainment and social purposes only
• You will not use the Service for any illegal gambling, gaming, or contests
• You are solely responsible for compliance with all applicable laws
• You release and hold SquareGames harmless from any and all claims, disputes, losses, or damages arising from dealings between users
• SquareGames makes no representations or warranties regarding user conduct, game outcomes, or any arrangements made between users

6. Paid Plans, Passes and Billing

What you pay for. Joining and playing games is free on every plan. Paid plans (Premium and Pro) and one-time passes (Game Pass and Season Pass) buy tools for running and watching games — more boards per week, no advertising, a scoring co-host, reports and analytics. Nothing you buy changes a game's outcome, the odds of any square, or what another player receives, and no entry fee, stake or prize exists anywhere on the Service.

Subscriptions renew automatically. A Premium or Pro subscription renews at the end of each monthly or annual period, at the price shown when you subscribed, and is charged to your payment method until you cancel. We will tell you before any price change takes effect. You can cancel at any time from Settings → Subscription (or, if you subscribed in the App Store or Google Play, from that store's subscription settings); cancellation takes effect at the end of the period you have paid for, and you keep your plan until then.

If you delete your account. A subscription bought on our website is cancelled immediately when you delete your account. A subscription bought through the App Store or Google Play is not — cancel it in that store's subscription settings, or the store will keep charging you.

Free trials. A trial, when offered, lasts the stated number of days. A trial granted by us without a payment method ends automatically and moves your account to the Free plan without charge. A trial started with a payment method converts to a paid subscription at its end unless you cancel before then.

Failed payments. If a renewal charge fails we will retry it and notify you. Your plan continues for up to 14 days while we retry; if payment is not made in that time your account moves to the Free plan.

Passes. A Game Pass applies to one board you host; a Season Pass applies to every board you host in the named sport during the stated season window. Passes are bought by the host, apply to every player on the covered board, do not renew, and are not transferable.

Weekly board allowance. Each plan includes a number of boards you may create per week, resetting every Tuesday at 00:00 in your time zone. Boards covered by a pass or a venue plan do not count toward it.

Who processes payment. Payments on the website and the Windows app are processed by Stripe. Purchases in the iPhone, iPad, Mac and Android apps are processed by Apple or Google and are also subject to their terms. Prices are in US dollars and may exclude taxes, which are added where required.

Venues. Businesses using a Venue plan agree to separate venue terms, which prohibit promoting any cash-entry contest, pool, stake or prize on or through the Service.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by SquareGames and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

No league affiliation. SquareGames is not affiliated with, endorsed by or sponsored by any professional or college sports league, team or governing body. Team, league and event names that hosts enter are used only to identify real-world games and remain the property of their owners.

8. User Content

You retain ownership of content you create and post on the Service. By posting content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, modify, adapt, and distribute your content on the Service and for promotional purposes.

You represent and warrant that:

• You own or have the necessary rights to the content you post
• Your content does not violate any third-party rights (copyright, trademark, privacy, etc.)
• Your content complies with these Terms and applicable laws

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without notice or liability.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors or defects will be corrected
• The Service is free from viruses or other harmful components
• User-generated content is accurate, lawful, or non-infringing

You use the Service at your own risk. We do not endorse, guarantee, or assume responsibility for any games, hosts, participants, or transactions conducted through the platform.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall SquareGames, its officers, directors, employees, agents, or affiliates be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or goodwill
• Any damages arising from your use or inability to use the Service
• Any disputes, losses, or issues between users (hosts and participants)
• Any dealings, disputes, or fraud between users
• Any unauthorized access to or alteration of your data
• Any conduct or content of third parties on the Service
• Any interruption or cessation of the Service

Our total liability to you for all claims arising from or related to the Service shall not exceed $100 USD or the amount you paid to us in the past 12 months, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold SquareGames harmless from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

12. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

13. Dispute Resolution and Arbitration

Informal Resolution: If you have a dispute with us, you agree to first contact us at legal@squaregames.app and attempt to resolve the dispute informally for at least 30 days.

Arbitration Agreement: If informal resolution fails, you agree that any dispute arising from these Terms or the Service shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver: You agree to resolve disputes with us only on an individual basis, and not as part of any class, consolidated, or representative action.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the new terms.

If you do not agree to the modified terms, you must stop using the Service and may terminate your account.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Subject to the arbitration provisions above, you agree that any legal action or proceeding shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the jurisdiction of such courts.

16. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SquareGames regarding the Service and supersede all prior agreements and understandings.
